By accessing or using the Areebi website (areebi.com) and services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case “you” or “your” shall refer to such entity. If you do not agree to these Terms, you must not access or use our Services.
These Terms constitute a legally binding agreement between you and Areebi Pty Ltd (“Areebi,” “we,” “us,” or “our”). They govern your access to and use of our website, platform, APIs, documentation, and all related services. Additional terms may apply to specific features or services and will be presented to you at the time of access.
Areebi provides an enterprise AI governance platform designed to help organizations deploy, manage, and secure their use of artificial intelligence. Our Services include, but are not limited to:

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or pose a security risk. You may have designated administrators who manage your organization's account and are responsible for configuring access controls, user permissions, and workspace policies within the platform.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

The Areebi platform, website, documentation, APIs, and all related materials, including but not limited to software, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and underlying technology, are the exclusive property of Areebi or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes during your subscription term. You may not copy, modify, distribute, sell, lease, sublicense, or reverse engineer any part of our Services without our prior written consent.
You retain ownership of all data and content that you submit, upload, or transmit through the Services (“Customer Data”). You grant us a limited license to use Customer Data solely for the purpose of providing and improving the Services. We will not use Customer Data for any purpose other than as set forth in these Terms and our Privacy Policy.
When we process personal data on your behalf through the Services, we act as a data processor (or sub-processor) and you act as the data controller. Our data processing activities are governed by our Data Processing Agreement (DPA), which is incorporated into these Terms by reference.
The DPA sets out the subject matter, duration, nature, and purpose of processing, the types of personal data processed, and the categories of data subjects. It also includes our obligations regarding sub-processors, data transfers, data breach notification, and assistance with your obligations under applicable data protection laws including GDPR, CCPA, and the Australian Privacy Act.

We strive to maintain high availability and performance for our Services. Specific service level commitments, including uptime guarantees, response times, and remedies for service level failures, are defined in your subscription agreement or order form.
Scheduled maintenance windows will be communicated at least 48 hours in advance. Emergency maintenance for critical security patches may be performed with shorter notice. For full SLA details, including service credit calculations and exclusions, please refer to our Trust Center SLA documentation.
Fees for the Services are set forth in your subscription agreement or order form. Unless otherwise specified, all fees are quoted in US dollars, are non-refundable, and are payable in advance. You agree to pay all applicable fees, taxes, and charges associated with your use of the Services.
We may change our fees upon at least 30 days' prior written notice before the start of your next renewal term. If you do not agree to the fee change, you may cancel your subscription before the renewal date.
To the maximum extent permitted by applicable law, in no event shall Areebi, its directors, officers, employees, affiliates, agents, contractors, licensors, service providers, suppliers, or successors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation:
These limitations apply regardless of the legal theory on which the claim is based, whether or not we have been advised of the possibility of such damages, and even if a limited remedy set forth herein is found to have failed its essential purpose.
Our total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the total amounts paid by you to Areebi during the twelve (12) months preceding the claim, or (b) one hundred US dollars (USD $100). This limitation of liability is cumulative and not per-incident.
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you in full. In such cases, our liability shall be limited to the fullest extent permitted by applicable law.
You agree to defend, indemnify, and hold harmless Areebi and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including but not limited to reasonable attorney's fees) arising from:
We will provide you with prompt written notice of any such claim and will reasonably cooperate with you (at your expense) in the defense of any such claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Before initiating any formal dispute resolution proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@areebi.com. We will attempt to resolve the dispute informally within 60 days of receipt of your notice.
If a dispute cannot be resolved informally, you agree that any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof, shall be finally settled by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its Arbitration Rules. The arbitration shall be conducted in English, with the seat of arbitration in Singapore. The arbitral tribunal shall consist of one arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of that party's intellectual property rights or confidential information.
We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, if we reasonably believe you have violated these Terms, the Acceptable Use Policy, or applicable law. You may terminate your account at any time by contacting us or through your account settings.
Upon termination, your right to access and use the Services will immediately cease. We will provide you with a reasonable period (not less than 30 days) to export your Customer Data following termination, unless the termination is due to a material breach of these Terms or applicable law. After the export period, we will delete your Customer Data in accordance with our data retention policies.
The following sections shall survive termination: Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and any other provisions that by their nature should survive.
The Services are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
While Areebi provides tools to assist with regulatory compliance, we do not guarantee that use of our Services will ensure compliance with any particular law or regulation. You are responsible for determining whether our Services are suitable for your compliance requirements and for obtaining independent legal advice where necessary.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the “Last updated” date. For significant changes, we may also provide additional notice, such as an email notification or an in-app banner.
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services and terminate your account. It is your responsibility to review these Terms periodically.
